Build-to-Suit Transaction and legal issues: a paper by Ciro Di Palma published in The Italian Law Journal

In a recent paper published in The Italian Law Journal our partner Ciro Di Palma examines certain key-legal issues in relation to the transactions entailing the purchase, development and lease of real estate assets known as “build-to-suit” (BTS), widely spread in the logistic sector.

The paper analyzes some negotiation strategies to minimize the risks of the developer, secure the link among the agreements with the seller, the contractor and the tenant and optimize the process from the due diligence through the closing. The author looks into some conditions precedent and subsequent that can be agreed in the interest of the developer, as well as into some contractual provisions that should prevent the latter from incurring in responsibilities that are normally borne by the contractors.
